ExpertAgent Terms and Conditions

Acceptance and scope

These Terms of Service govern access to and use of the ExpertAgent iOS application, related website resources, and associated services made available by Umber Lab Limited ("Umber Lab", "we", "our", or "us"). By accessing or using ExpertAgent, you agree to be bound by these Terms to the maximum extent permitted by applicable law.

ExpertAgent helps users create expert persona prompts for AI chat interfaces. Generated content is provided as-is.

Eligibility and accounts

ExpertAgent is not intended for children under 13. Some functionality requires an account created through email verification or Sign in with Apple. You are responsible for ensuring that account information you submit is accurate and that you are authorized to use the credentials you provide.

You are responsible for maintaining reasonable control over access to your devices, credentials, and email accounts used in connection with ExpertAgent.

License and permitted use

Subject to compliance with these Terms, Umber Lab Limited grants a limited, non-exclusive, non-transferable, revocable license to use ExpertAgent for its intended personal and lawful purposes. No ownership rights in the app, its software, branding, or related content are transferred to you.

User responsibilities

You are responsible for content you create and publish. Do not publish harmful, abusive, or illegal content. Do not misrepresent generated prompts as professional licensed advice (legal, medical, financial, or other regulated professions).

Prohibited conduct

You must not misuse the app, attempt to bypass technical or subscription restrictions, interfere with billing flows, reverse engineer protected portions of the service except where expressly permitted by law, exploit the service for unlawful or harmful conduct, or submit content in a manner that infringes rights or creates material legal or operational risk.

User content and community

You retain ownership of content you create. By publishing an expert to the community, you grant Umber Lab Limited a non-exclusive license to host, display, and distribute that content within ExpertAgent for the purpose of operating the community feature.

Public experts may be reported and removed if they violate guidelines. We may suspend or terminate accounts that abuse the community or these Terms.

AI output disclaimer

ExpertAgent provides AI-generated prompts for productivity and informational purposes only. AI-generated output may be incomplete, inaccurate, or unsuitable for any particular purpose and must not be relied upon as legal, medical, financial, or other licensed professional advice.

You are solely responsible for how you use generated prompts in third-party AI tools.

Subscriptions, billing, and refunds

Pro subscriptions are billed through the Apple App Store and managed through RevenueCat. Subscription availability, entitlement activation, renewals, cancellations, and related billing events are subject to the Apple App Store platform, your Apple ID settings, and Apple's applicable policies.

Except where mandatory law requires otherwise, Umber Lab Limited does not independently guarantee refund rights outside the refund, billing, and cancellation mechanisms made available through Apple.

Service availability and changes

We may modify, suspend, restrict, or discontinue any part of the app, including features, AI functionality, community features, pricing structures, or availability, at any time and without guaranteeing uninterrupted service.

Suspension and termination

We may suspend, restrict, or terminate access to the app or any account where we reasonably believe there has been misuse, abuse, fraudulent activity, harmful conduct, violation of these Terms, technical interference, platform-policy violations, legal risk, or security risk.

Account deletion

Users may delete their account from Settings → Delete Account inside the signed-in app. The web deletion page at https://umberlab.com/expertagent/account-delete provides instructions and support contact information for users who cannot access the app. Limited records may remain retained where reasonably required for security, fraud prevention, abuse investigation, billing reconciliation, dispute handling, legal compliance, or enforcement purposes. Information stored locally on your device may remain until you clear app data or uninstall the app.

Intellectual property

ExpertAgent, including its software, visual design, branding, content selection, text, structure, and related materials, is owned by or licensed to Umber Lab Limited and protected by applicable intellectual-property laws. Except for the limited use rights expressly granted in these Terms, no license or right is granted by implication or otherwise.

Disclaimers

To the maximum extent permitted by applicable law, ExpertAgent is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, or reliability.

Limitation of liability

To the maximum extent permitted by applicable law, Umber Lab Limited and its affiliates, personnel, contractors, licensors, and service providers shall not be liable for indirect, incidental, consequential, special, exemplary, punitive, or similar damages, or for loss of profits, revenue, goodwill, data, business opportunity, or service availability arising out of or related to the use of, inability to use, or reliance upon ExpertAgent or generated prompts used in third-party AI tools.

Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold harmless Umber Lab Limited from claims, liabilities, losses, damages, and expenses arising out of your misuse of the app, violation of these Terms, infringement of rights, or unlawful conduct in connection with ExpertAgent.

Changes to these terms

We may update these Terms from time to time. Continued use of ExpertAgent after changes become effective constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

Governing law

These Terms are governed by the laws applicable to Umber Lab Limited, without prejudice to any mandatory consumer-protection rights or non-waivable legal protections that apply under the laws of your jurisdiction.
